Patrick J. McHugh is a founder and Senior Managing Director of Okapi Partners. He has over 17 years experience in managing all aspects of the proxy solicitation/information agent process. Pat has managed solicitation campaigns related to annual and special meetings (domestically and abroad), M&A solicitations and schemes of arrangement, bankruptcies and reorganizations as well as fixed income-related matters, including numerous tenders, exchanges and consent solicitations.
Since founding Okapi Partners, Pat has worked on numerous M&A transactions including: representing Allion Healthcare in its acquisition by H.I.G. Capital; Bookham, Inc. (now Oclaro) in its merger with Avanex; KPN in its acquisition of iBasis Inc.; Green Mountain Coffee Roasters in its acquisition of Diedrich Coffee, Inc.; SiRF Technology Holdings, Inc. in its acquisition by CSR plc; Axcan Holdings in its acquisition by Eurand N.V.; TPG Capital in its acquisition of J. Crew Group, Inc.; Bain Capital in its acquisition of The Gymboree Corporation and Syniverse Technologies in its acquisition by The Carlyle Group.
Pat has regularly counseled clients involved in complex or difficult-to-execute transactions in both the equity and fixed income markets. Pat acted as information agent on behalf of the Republic of Argentina in the restructuring of its debt (the largest sovereign debt restructuring in history) and represented Adelphia Communications in its solicitation to emerge from bankruptcy. He also advised Royal Dutch Shell on investor response strategy for its unification transaction. Some of his other projects involved representing some of the world’s largest public companies in various transactions, including deals for Microsoft, GE Capital, Ford, Vivendi, Novartis, Siemens, Telefonica and McDonalds as well as information agent for the private equity consortium that acquired VNU (now The Nielsen Company).
Prior to establishing Okapi Partners, Pat was a Senior Managing Director of Georgeson Inc. (now a subsidiary of Computershare Limited) and a member of its Global M&A Advisory team. He received his B.A. in Economics from East Stroudsburg University.
