Patrick J. McHugh is a founder and Senior Managing Director of Okapi Partners. He has over 15 years experience in managing all aspects of the proxy solicitation/information agent process, ranging from planning and execution of campaigns to management of call centers and staff. Pat has managed solicitation campaigns related to annual and special meetings (domestically and abroad), M&A solicitations, schemes of arrangement, bankruptcies and reorganizations as well as fixed income-related matters, including numerous tenders, exchanges and consent solicitations.
Pat has regularly counseled clients involved in complex or difficult-to-execute transactions in both the equity and fixed income markets. Pat acted as information agent on behalf of the Republic of Argentina in the restructuring of its debt (the largest sovereign debt restructuring in history) and represented Adelphia Communications in its solicitation to emerge from bankruptcy. He also advised Royal Dutch Shell on investor response strategy for its unification transaction. Some of his other projects involved representing some of the world’s largest public companies in various transactions, including deals for Microsoft, GE Capital, Ford, Vivendi, Novartis, Siemens, Telefonica and McDonalds.
Pat also specializes in working with clients on cross-border transactions with representative engagements including: information agent for Citigroup Inc.’s acquisition of KorAm Bank Ltd in Korea; proxy solicitor for KT&G Corp. in a proxy contest against Carl Icahn and Steel Partners; information agent for the private equity consortium that acquired VNU (now The Nielsen Company); and solicitation advisor for Gas Natural in its unsolicited offer for Endesa S.A.
In the fixed income arena, Pat worked as information agent for sovereign debt restructurings for each of the Republics of Argentina, Venezuela, Colombia, and Nigeria as well as for numerous U.S. and international corporate issuers.
Prior to establishing Okapi Partners, Pat was a Senior Managing Director of Georgeson Inc. (now a subsidiary of Computershare Limited) and a member of its M&A Advisory team. Before entering the proxy solicitation business, Pat worked as a registered representative in the retail brokerage industry. He received his BA in Economics from East Stroudsburg University. |
